1.1. This contract is the official offer of LLC “Sinteth”, hereinafter referred to as «Seller», to conclude a Contract of Sale of goods remotely, that is, through the online store, hereinafter referred to as – «Contract», and places a Public offer on the official website of the Seller «https://www.bnb.in.ua/ (further – “Internet-website”).

1.2. The moment of full and unconditional acceptance by the Buyer of the Seller’s offer (acceptance) to conclude an electronic Contract of Sale of goods is the fact of payment by the Buyer of the order on the terms of this Contract, in terms and at prices specified on the Seller’s website.

Concept and definition

2.1. In this offer, unless the context requires otherwise, the terms below have the following meaning:

* “Goods” – the goods specified in the catalog on the seller’s website, certain models and sizes, which is a medical device;

* “Online store” – according to the Law of Ukraine “About E-Commerce”, a means for the presentation or sale of goods, work or services by making an electronic transaction.

* “Seller” – a company that sells goods presented on the Interner-website.

* “Buyer” means an individual who has concluded a Contract with the Seller on the terms set forth below.

* “Order” – the selection of individual items from the list of goods, indicating the model and size selected by the Buyer when placing an order and making payment.

Subject of contract

3.1. The seller undertakes to transfer the Goods to the property of the Buyer, and the Buyer undertakes to pay for and accept the Goods under the terms of this Contract.

This Contract regulates the purchase and sale of goods in the Online store, including:

– voluntary choice of goods by the Buyer in the Online store;

– independent registration of the order by the Buyer in the Online store;

– payment by the Buyer of the order bought in the Online store;

– processing and delivery of the order to the Buyer in the property on the terms of this Contract.

The procedure of registration of the order

4.1. The buyer has the right to place an order for any product presented on the Website of the Online store and available product.

4.2. In the absence of goods in stock, the Manager of the company is obliged to inform the Buyer (by phone or via e-mail).

Order payment methods

Payment for goods can occur in such ways:

5.1. Payment in cash at pickup from a branch of service of the carrier.

5.2. Payment in cash upon receipt of the goods by courier (courier service).

5.3. Payment by VISA / MasterCard at pickup from the branch of the carrier’s service.

5.4. Payment by Bank transfer.

Conditions for the Delivery

Delivery of goods purchased in the Online store is carried out in the following ways:

6.1. Delivery to the “Nova Poshta” office – according to the operator’s tariffs

6.2. Delivery by courier “Nova Poshta”  – according to the operator’s tariffs

6.3. Pickup from the store (only in Dnipro)

6.4. Delivery by courier in the city (courier of the store) after payment – only in Dnipro

6.5. Delivery to the “Ukrposhta” office – according to the operator’s tariff.

Together with the order, the Buyer is provided with documents following the legislation of Ukraine.

Rights and obligations of the parties:

7.1. The Seller has the right:

– unilaterally terminate the provision of services under this contract in case of violation by the Buyer of the terms of this contract.

7.2. The Buyer is obliged to:

– in timely pay and receive the order on the terms of this contract.

7.3. The Buyer has the right to:

–  to place an order in the Online store;

– require the Seller to comply with the terms of this Contract.

Responsibility of parties

8.1. The parties shall be liable for non-performance or improper performance of the terms of this contract in the manner prescribed by this contract and the current legislation of Ukraine.

8.2. The Seller is not responsible for:

– for a slight discrepancy in the color scheme of the product, may differ from the original product only through different color transmission of personal computer monitors of individual models;

– for the content and reliability of the information provided by the Buyer when ordering;

– for delays and interruptions in the provision of Services (order processing and delivery of goods), occurring for reasons beyond its control;

– for illegal actions committed by the Buyer with the help of this access to the Internet;

– for transfer by the Buyer of the network identifiers-IP, MAC address, login and password to the third parties;

8.3. The Buyer, using the Internet access provided to him, is independently liable for damage caused by his actions (personally, even if another person was under his login) to persons or their property, legal entities, the state or moral principles of morality.

8.4. In the case of force majeure, the parties are released from the terms of this contract. Force majeure circumstances for this agreement shall mean events of an extraordinary, unforeseen nature, excluding or objectively interfering with the performance of this agreement, the occurrence of which the Parties could not foresee and prevent by reasonable means.

8.5. The parties shall make every effort to resolve any differences exclusively through negotiations.

Other condition

9.1. The online store reserves the right to amend unilaterally this contract subject to its preliminary publication on the website https://www.bnb.in.ua

9.2. The online store is created for the organization of remote sales of goods through the Internet.

9.3. The buyer is responsible for the accuracy of the information provided when ordering information. At the same time, when making an acceptance (ordering and subsequent payment for the goods), the Buyer provides the Seller with his unconditional acceptance to the collection, processing, storage, use of his data, in the understanding of the law “On personal data protection”.

9.4. Payment by the Buyer of the order made in the online store means the Buyer’s full agreement with the terms of the purchase and sale agreement (public offer)

9.5. The actual date of the electronic transaction between the parties is the date of acceptance of the terms, according to article 11 of the Law of Ukraine “About electronic Commerce”

9.6. The using of resource of the online store to view the goods, as well as to place an order for the Buyer is free of charge.

9.7.The information provided by the Buyer is confidential. The online store uses information about the Buyer with the purpose of order processing, sending messages to the Buyer, delivery of goods, settlements, etc.

Return of goods

10.1. The product listed on the site refers to items designed for medical use. The goods are checked for quality before shipment, so all the goods are of high quality.

10.2. According to the legislation, medical products of proper quality are not subject to return. It is possible to return only the products of inadequate quality (low-quality goods). In this, cause it is necessary to show the settlement document on their acquisition, and the conclusion on quality issued by the subordinate laboratory of territorial body of State service of Ukraine on medicines and drug control and/or the authorized laboratory.

10.3. Not correctly specified by the Buyer when ordering goods, its model or size is not a reason to consider the goods of inadequate quality.

Contract period

11.1. The electronic contract is considered concluded from the moment of receipt by the person who sent the offer to conclude such a contract, the answer on acceptance of this offer in the order defined by part of the sixth article 11 of the Law of Ukraine “About electronic Commerce”.

11.2. Before the expiration of this Contract may be terminated by mutual consent of the parties until the actual delivery of the goods, by the refund.

11.3. The parties have the right to terminate this agreement unilaterally, in case of failure of one of the parties to the terms of this Contract and cases stipulated by the current legislation of Ukraine.
